These Terms and Conditions ("Terms") govern your access to and use of the ListGreenLight platform and website located at www.listgreenlight.com, operated by ListGreenLight, LLC ("Company," "we," "us," or "our").

By submitting your information or using the platform, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Description of Service

ListGreenLight is an AI-driven pre-listing optimization platform designed to help real estate professionals and home sellers prepare a property for the market. The typical workflow begins with a real estate agent or broker initiating a submission on behalf of their client. A unique link is then generated and shared between the realtor and the home seller, allowing either party to upload photos at any stage of the process — whether during the initial consultation or independently at a later time.

The platform is intended to be simple and accessible for both real estate professionals and homeowners. The realtor may guide the home seller through the process during their first meeting, after which the seller can independently complete subsequent photo uploads using the shared link. In some cases, the home seller may complete the entire process on their own without realtor assistance.

2. Eligibility and Getting Started

You must be at least 18 years of age to use our platform. To get started, you simply enter your realtor name, property address, email address, and phone number, then complete payment through Stripe. A unique link is then generated and delivered to you via email and SMS. This link serves as your access point throughout the entire process — for all photo uploads and status updates. There is no account login or password required.

By submitting your information, you represent that all details you provide are accurate and current, and that you are authorized to submit information about the property in question.

3. Acceptable Use

You agree to use the platform only for lawful purposes and in accordance with these Terms. You agree not to:

Upload property photos or content you do not have the right to use
Use the platform in any way that violates applicable federal, state, or local laws or regulations
Attempt to reverse-engineer, scrape, or extract proprietary AI models or data from the platform
Transmit any viruses, malware, or harmful code
Engage in conduct that restricts or inhibits others' use of the platform
Misrepresent property information or use AI recommendations in a fraudulent manner

4. AI-Generated Recommendations

The recommendations provided by ListGreenLight are generated by artificial intelligence and are intended as informational suggestions only. They do not constitute professional real estate, appraisal, legal, or financial advice. ListGreenLight makes no guarantees regarding the impact of our recommendations on property sale price, time on market, or buyer interest. Results will vary based on local market conditions, property type, and other factors outside our control. You are solely responsible for decisions made based on our platform's output.

5. User Content

You retain ownership of any photos, property data, or other content you upload to the platform ("User Content"). By uploading User Content, you grant ListGreenLight a limited, non-exclusive, royalty-free license to use, process, and display your User Content solely for the purpose of delivering our services to you.

You represent and warrant that you have all necessary rights to upload and use the User Content and that doing so does not infringe any third-party intellectual property rights.

We will not sell or share your User Content with third parties except as described in our Privacy Policy.

6. Payments and Billing

Access to certain features of the platform requires payment of applicable fees. All payments are processed securely through Stripe, a third-party payment processor. By providing payment information, you authorize us to charge the applicable fees to your payment method.

All fees are in U.S. dollars unless stated otherwise
Fees are non-refundable except as required by law or as stated in a specific subscription plan
We reserve the right to change our pricing with advance notice to active subscribers

If your payment fails, we may suspend or terminate your access to the platform until payment is resolved.

7. SMS Communications

By providing your phone number and opting in, you agree to receive SMS text messages related to your property evaluation, upload links, and platform updates from ListGreenLight. Message and data rates may apply. You may opt out at any time by replying STOP to any message. See our Privacy Policy for details on how we handle your phone number and SMS opt-in data.

8. Intellectual Property

All content on the platform — including but not limited to software, AI models, algorithms, design, text, graphics, and branding — is the exclusive property of ListGreenLight, LLC or its licensors and is protected by applicable intellectual property laws. You are granted a limited, non-transferable license to access and use the platform for its intended purpose. No other rights are granted.

9. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LISTGREENLIGHT, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless ListGreenLight, LLC and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.

12. Termination

We reserve the right to suspend or terminate your access to the platform at any time, with or without notice, if you violate these Terms or for any other reason at our discretion. Upon termination, your right to use the platform ceases immediately. Provisions that by nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will continue to apply.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Michigan, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the platform shall be resolved through binding arbitration in Michigan, in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

14. Changes to These Terms

We may update these Terms at any time. When we do, we will revise the "Last Updated" date at the top of this page. Material changes will be communicated to you via email or a notice on the platform. Your continued use of the platform after changes are posted constitutes acceptance of the revised Terms.
